  • Negotiating letters of intent and structuring joint ventures and limited partnerships;
  • Interfacing with American tax counsel to maximize benefits of structuring Mexican business entities;
  • Reviewing surveys, title policies and deed restrictions;
  • Negotiating with debt and equity investors;
  • Conducting extensive due diligence prior to significant land purchases;
  • Coordinating with architects, engineers, and government officials for permits and other required entitlements and pre-development items such as utility capacity, drainage requirements and site development density;
  • Obtaining beach concessions;
  • Creating or evaluating condominium regimes, homeowners associations, beach club rules and deed restrictions; and
  • Creating the necessary agreements for the construction, sale, and lease of various properties and developments.
